Everidge, a Minnesota-based manufacturer of commercial refrigeration and other products, entered into a “strategic partnership” with KPS Global.
The financial terms of the deal were not disclosed. As part of the transaction, though, Everidge’s owners, the Kahler family, will become a “significant minority shareholder in KPS Global and have representation on the board of directors, per a release announcing the deal. Chris, Mike and Stephen Kahler will join the KPS executive team. The deal is subject to customary closing conditions, including regulatory approvals.
The transaction combines two complementary businesses. KPS Global’s customers are predominantly large food retailers, who turn to the company for its custom-built insulated panels. Everidge focuses on foodservice, convenience stores, regional grocers and controlled environments. The transaction will enable KPS Global to expand its product offerings by giving it access to Everidge’s ICS product line of cold room solutions, mobile cold storage solutions, in-house slider doors, and PrepRite line of blast chillers.
Everidge’s six manufacturing facilities paired with KPSG’s five manufacturing plants “will allow the combined firm to manufacture closer to customer locations and significantly reduce customers’ freight costs,” the release added.
The Everidge name dates back to 2017. That’s when four refrigerated service brands – ThermalRite, CrownTonka, ICS and LoTemp Doors – came together to form Everidge.
